Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the SmartAssistant extension (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not install or use the Service.

2. Service Description

SmartAssistant is a Zoho CRM sidebar extension that provides unified visibility across a contact’s CRM profile, Zoho Books financial records, Zoho Desk support tickets, and an optional AI-generated strategic summary powered by DeepSeek.

Key characteristics of the Service:

• Read-only operation: The Service reads data from Zoho APIs but does not create, update, or delete CRM, Books, or Desk data (except an optional manual admin script to fix a Zoho UI rendering bug).
• Zero-retention data flow: Business data is fetched live per request and is not persisted on the server. See the Data Privacy & Security document for details.
• Optional AI feature: The strategic summary can be disabled by not configuring a DeepSeek API key.

3. Eligibility & Registration

To use the Service, you must:

• Have an active Zoho CRM account with appropriate permissions
• Be at least 18 years of age, or the age of majority in your jurisdiction
• Complete the OAuth 2.0 authorization flow

The Service does not require a separate account — authentication is handled entirely through Zoho’s OAuth 2.0 with PKCE. No passwords are collected or stored by the Service.

4. User Obligations

You agree to:

• Use the Service in compliance with all applicable laws and regulations
• Maintain the confidentiality of your Zoho account credentials
• Not attempt to circumvent any security measures, rate limits, or access controls
• Not use the Service to distribute malware, spam, or harmful content
• Not reverse-engineer, decompile, or disassemble the Service
• Not use the Service in a way that could damage, disable, or impair the infrastructure of SmartAssistant, Zoho, or DeepSeek

5. Intellectual Property

The Service, including its code, design, branding, and documentation, is the intellectual property of the publisher (Integmia LLC). SmartAssistant and its logo are trademarks of the publisher.

Zoho CRM, Zoho Books, Zoho Desk, and the Zoho logo are trademarks of Zoho Corporation. This extension is an independent third-party integration and is not affiliated with, endorsed by, or sponsored by Zoho Corporation.

6. Third-Party Services

The Service integrates with:

• Zoho CRM, Books, and Desk — Your use of these Zoho services is governed by Zoho’s own terms of service and privacy policy.
• DeepSeek AI (optional) — If enabled, use of the AI summary feature is subject to DeepSeek’s Terms of Service.

The publisher is not responsible for the availability, security, or performance of these third-party services. Any issues arising from their use should be directed to the respective provider.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the publisher and its contributors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, data inaccuracies, or issues arising from third-party API changes or outages

In no event shall the total liability of the publisher exceed the amount paid by you for the Service (if any) in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

The publisher does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• AI-generated summaries will be accurate, complete, or reliable
• Any errors or defects will be corrected

9. Indemnification

You agree to indemnify, defend, and hold harmless the publisher and its contributors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Any dispute between you and a third party arising from your use of the Service

10. Termination

By you: You may stop using the Service at any time by disconnecting SmartAssistant via the settings page. This revokes the OAuth tokens and removes your encrypted token entry from the server.

By the publisher: The publisher reserves the right to suspend or terminate access to the Service at any time, without notice, for:

• Violation of these Terms
• Use that poses a security risk to the Service or its users
• Non-payment of applicable fees (if any are introduced in the future)

Upon termination, all encrypted token entries associated with your account will be deleted. No other data exists to be removed (see the Privacy document for details).

11. Changes to Terms

The publisher reserves the right to modify these Terms at any time. Material changes will be announced via:

• The Zoho Marketplace listing page for SmartAssistant
• The Service’s landing page at smartassistant.site

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the courts located in California.
